1. General Terms

Welcome to Valwerk (“Valwerk,” “we,” “us,” or “our”) and our official online store at [www.valwerk.com] (the “Website”).

These Terms and Conditions (“Terms”) govern purchases made through our Website by customers acting as consumers for personal, non-commercial purposes.

By browsing our Website, creating an order, or purchasing our products, you confirm that you have read and accepted these Terms. Please take a moment to review them before placing an order.

Certain provisions may vary depending on the country or region to which your order is being delivered. Where applicable, the relevant information will be displayed based on your selected shipping destination.

We may revise these Terms from time to time. The Terms in effect on the date your order is placed will apply to that purchase.

3. Orders and Formation of the Contract

Customers may purchase products through the Valwerk online store at [www.valwerk.com].

After an order has been submitted successfully, the customer will receive an order confirmation by email containing the relevant order details.

The purchase agreement is considered concluded once the seller accepts and confirms the customer's order.

If an order cannot be fulfilled, for example because a product is unavailable or due to an issue with the order, the customer will be informed as soon as reasonably possible.

4. Prices, Product Information and Accuracy

All prices displayed on the Website are stated in EUR and include applicable VAT. Unless explicitly stated otherwise, shipping and delivery charges are not included in the product price and will be shown during checkout.

We make reasonable efforts to ensure that product descriptions, images, prices, availability information, and other Website content are accurate and current.

In the event that an obvious pricing or product information error occurs, we reserve the right to correct the error. If an affected order has already been placed, we will contact the customer and provide the option to proceed at the correct price or cancel the order.

Valwerk is not responsible for additional currency conversion costs, exchange-rate differences, or fees imposed by the customer's bank, card issuer, payment provider, or other financial institution.

We may change product prices, promotional offers, discounts, or other commercial terms at any time. Such changes will not affect orders that have already been confirmed.

5. Payment

The payment methods available in the Valwerk online store are displayed during checkout and may include:

• Credit and debit cards, including Visa, Mastercard, American Express, and Discover,
• PayPal,
• Shop Pay,
• Google Pay,

Payments are processed in euros (EUR) unless otherwise indicated during the checkout process.

All applicable taxes are included in the displayed product prices.

An order may only be processed once the required payment has been successfully authorized or received.

6. Shipping and Delivery

Orders are shipped using the delivery services available for the customer's selected destination.

For deliveries within Slovenia, shipments may be handled by Pošta Slovenije.

For deliveries within the European Union, shipments may be handled by GLS or another available logistics provider.

Estimated delivery times are generally:

• Slovenia: approximately 2–5 business days,
• European Union: approximately 5–10 business days.

These delivery estimates are indicative and may vary depending on the destination, carrier, public holidays, peak periods, or circumstances outside our reasonable control.

The applicable shipping fee will be displayed during checkout before the customer completes the order.

7. Right of Withdrawal and Returns

Consumers have the right to withdraw from their purchase within 30 days after receiving the product, without having to provide a reason, subject to the applicable conditions and statutory consumer rights.

Our voluntary 30-day return period and the applicable return procedure are explained in more detail in our Return Policy.

Customers should review the Return Policy before sending any product back to us, including information concerning the return procedure, applicable conditions, and any exclusions.

8. Product Complaints and Consumer Rights

Valwerk is committed to offering products that meet the quality and specifications presented on our Website.

If a customer receives a product that is defective, damaged, incorrect, or otherwise does not conform to the purchase agreement, the customer may submit a complaint in accordance with applicable consumer protection legislation.

• A description of the issue,
• Relevant details regarding the product,
• Photographs or other supporting information where appropriate.

We will review the complaint and respond within the applicable statutory timeframe within 8 business days. Depending on the circumstances and applicable law, the available remedy may include repair, replacement, price reduction, or a refund.

Where a complaint is determined to be justified, Valwerk will handle the matter in accordance with applicable consumer protection requirements, including any applicable return shipping costs.

Statutory consumer rights remain unaffected by these Terms.

Damage resulting from improper use, failure to follow product-care instructions, accidents, unauthorized modifications, or ordinary wear and tear may not constitute a defect for which the seller is responsible, subject always to applicable mandatory consumer rights.

9. Privacy and Personal Data

Valwerk, operated by Momara d.o.o. , is committed to handling customer information responsibly and transparently.

Personal data is processed in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR – EU 2016/679), the Slovenian Personal Data Protection Act (ZVOP-2), and other applicable privacy regulations.

We process personal information where necessary to accept and fulfill orders, provide customer support, communicate with customers, process payments, arrange delivery, and maintain the functionality and security of our Website.

Depending on the circumstances, this may include information such as the customer's name, email address, telephone number, billing information, delivery address, and payment-related information.

Nevertheless, the Website may occasionally contain typographical errors, inaccuracies, outdated information, product availability errors, or incorrect pricing information.

We reserve the right to correct or update Website content, product information, availability, pricing, or other details where necessary.

We also aim to maintain reliable access to the Website. However, we cannot guarantee that the Website will always operate without interruption, technical errors, security issues, or other disruptions.

Valwerk shall not be responsible for temporary Website interruptions, technical failures, service outages, data loss, or other issues caused by circumstances outside our reasonable control, including third-party service failures, maintenance, hosting problems, or network disruptions.

To the maximum extent permitted by applicable law, Momara d.o.o. shall not be responsible for indirect or consequential losses arising from the use of, or inability to use, the Website or products purchased through it.

Nothing in these Terms excludes or restricts liability where such exclusion or restriction is prohibited by applicable law, including liability arising from fraud, intentional misconduct, or mandatory consumer protection provisions.

11. Intellectual Property Rights

All materials available through the Valwerk Website, including product images, photographs, written content, graphics, logos, illustrations, videos, icons, page layouts, designs, and other materials, are owned by or licensed to Momara d.o.o. and are protected by applicable intellectual property and copyright laws in Slovenia, EU and around the world.

The Valwerk name, logo, visual identity, and other associated branding elements may constitute trademarks or other protected intellectual property.

No content from the Website may be copied, reproduced, modified, distributed, published, transmitted, commercially exploited, or otherwise used without prior written authorization, except where such use is expressly permitted by applicable law.

Customers are granted a limited, non-exclusive, non-transferable right to access and use the Website for legitimate personal and non-commercial purposes.

This permission does not grant any ownership or other intellectual property rights in the Website or its content.

Any unauthorized use of Valwerk intellectual property may result in appropriate legal action.

12. Applicable Law and Dispute Resolution

These Terms and any contractual or non-contractual matters arising from or relating to them shall be governed by the laws of the Republic of Slovenia, unless mandatory consumer protection rules in the customer's country of residence provide otherwise.

Any dispute arising in connection with these Terms, the Website, or a purchase shall be handled by the competent courts in Slovenia, subject to any mandatory jurisdictional rights granted to consumers under applicable law.

Consumers within the European Union may also have access to alternative dispute resolution mechanisms where applicable.

Note: The European Commission's Online Dispute Resolution (ODR) platform referenced in previous versions of these Terms has been discontinued as of July 20, 2025 and should therefore not be included as an active dispute-resolution link.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to apply to the fullest extent permitted by law.

13. Final Provisions

These Terms and Conditions are effective from August 28, 2026 and apply to purchases made through the Valwerk online store from that date onward.

By accessing the Website and placing an order, customers acknowledge that they have had the opportunity to review these Terms and agree to the provisions applicable to their purchase.

Momara d.o.o. may amend, update, or replace these Terms anytime. Any revised version will become effective when published on the Website, unless otherwise required by applicable law.

Customers are encouraged to review the current version of these Terms before making a new purchase.

If any part of these Terms is found to be invalid or unenforceable, that provision shall be interpreted or adjusted to the extent necessary to comply with applicable law while preserving its intended purpose. The validity of the remaining provisions will not be affected.

These Terms constitute the complete agreement between Momara d.o.o. and the customer regarding the matters covered by these Terms, except where additional contractual terms or mandatory statutory provisions apply.
